VARA Cloud is a hosted workspace for AI agents. These terms are the agreement between you and the person who runs the platform. If a line is unclear, open the support channel and ask.

1. The parties

These Terms are between you and {{COMPANY_LEGAL_NAME}} ({{COMPANY_COUNTRY}}), the individual who operates VARA Cloud (the "Operator"), not yet a company. "You" is whoever holds the account, "we" is the Operator, and "the service" is the platform and everything in it.

You must be at least 18, and may use the service for yourself or for an organisation you represent. Accounts come from the waitlist, and access may be limited while the platform is in beta. The platform runs in English and Arabic; your choice is stored in one cookie.

2. The service

You get a hosted workspace on our infrastructure: an isolated sandbox (a container) where an AI agent called VARA works.

The service is in beta: features may change and some may be withdrawn (section 11).

3. Accounts

4. Acceptable use

You may use the service only as the Acceptable Use Policy allows. The AUP is published with these Terms and forms part of them. Do only lawful work you are allowed to do, keep it inside your own sandbox, and do not use the service to hurt anyone. Breaking the AUP is a breach of these Terms (section 10).

5. Your content and intellectual property

Your content stays yours: your files, prompts, code, job receipts, the keys you store, and everything VARA writes for you.

6. Plans, metering and fees

Four plans exist: Free, Founder, Pro and Owner. They differ in active hours per month, jobs running at once, long-running job length, storage, memory, and whether browsing and sub-agents are available. Your account page shows what your plan includes.

Active hours are the time the agent works or you use the workspace. A daily usage ledger records minutes, tokens, cost and storage, and every job has a receipt. A job that reaches a cap you set stops. With your own model key, your provider bills you directly; the platform's own models count against your caps.

No money is charged today. This is early access. Prices will be published on the pricing page before any charge, with advance notice before charging starts. When charging starts, the price and period are shown before the first charge, and you can cancel before then.

If a payment fails, we retry and tell you through the support channel. If it is still outstanding, paid features pause while the workspace stays readable so you can export. If payment is not settled within 30 days, the subscription ends (section 10).

7. Refunds

The refund policy is published on the pricing page and forms part of these Terms. Nothing is charged during early access, so there is nothing to refund today. When paid plans start, the refund policy applies to them in full.

Two situations give you a refund whatever the policy's general rules say: we suspend or end the service for a breach we later find you did not commit, and a change to these Terms materially reduces the service (section 14). Both refunds are pro-rata, for the unused part of the time you paid for.

8. Availability and support

The Service Level Agreement is published with these Terms. It is a commitment, not a courtesy.

Support is through the in-platform support channel. There is no email support channel.

9. Third-party services

10. Suspension and termination

You may stop at any time. You may close your account whenever you like, and we then close the workspace.

We may suspend an account or workspace at once where the breach is material, or where continuing would harm the platform, another tenant or someone outside it. Where we can, we tell you first and give you a chance to fix it. A suspension for a breach you did not commit earns a pro-rata refund of the unused time (see the AUP).

When the service ends, your workspace stays open for 30 days so you can export your files. After that we delete the workspace, its volumes and your content, except where the law requires us to keep something, such as an invoice record. Keep your own copies, and export in time.

11. Disclaimers

12. Limitation of liability

13. Indemnity

14. Changes to these terms

We may change these Terms. We give at least 30 days' notice through the support channel and on the account page, saying what changes and when it takes effect. A change the law requires takes effect when the law says it does.

If a change materially reduces the service, you may close your account before it takes effect and receive a pro-rata refund of the unused time you paid for.

15. Notices

Operational messages about your account, jobs and the service go through the in-platform support channel and appear on the account page.

Formal notices go to {{SUPPORT_EMAIL}} and to {{COMPANY_LEGAL_NAME}}. A notice in the support channel is given when it appears there; a notice by email is given on the next business day after it is sent. Keep your contact details current: a notice sent to the details on your account counts as given even if it never reached you.

16. Governing law and jurisdiction

These Terms are governed by the law of {{GOVERNING_LAW}}, and the courts of {{COURTS}} have exclusive jurisdiction.

Nothing here removes or limits any right or protection you have under the mandatory law of the country where you live, or of the country where you are a consumer. If such a law gives you a right that this clause would take away, that law applies, and this clause is read only as far as needed for you to keep that right.

17. Language

The platform and these documents are available in English and Arabic. The Arabic version is a translation of the English version, and the English version is the reference text. In the Kingdom of Saudi Arabia, where the two differ, the Arabic version prevails.

18. Order of precedence

If our documents conflict, this order applies: the SLA, for availability, maintenance, credits and support; then these Terms; then the AUP; then the refund policy; then any plan confirmation we send you. The order applies only where the documents really conflict on the same point.

19. Entire agreement

These Terms, the AUP, the SLA, the refund policy and any plan confirmation we send you are the whole agreement between us. Statements on our website, in sales messages or in demonstrations are not a promise, unless these Terms say so. A separate written agreement you have signed replaces these Terms only where it says so.

20. Severability

If a provision is not enforceable, it is treated as if it were not there, or read down to the smallest extent that makes it enforceable, and the rest of these Terms continue to apply.

21. Waiver

If we do not enforce a right, that is not a waiver of it. A waiver given once is not a continuing waiver, and it counts only if it is in writing and signed by us.
